THE BOARD OF DIRECTORS (EXCERPTS FROM OUR WOODLAND SPRINGS BYLAWS)

Section 3.1. Powers. The Board of Directors shall have the power to elect or appoint all necessary committees or committee chairman, to enter into contracts, to employ agents, contractors, vendors, suppliers, workmen and others, to require any of them to give such bond for the faithful discharge of their duties as may be deemed wise, fix their compensation, if any, prescribe their duties, dismiss any appointed officer or employee, and generally to do and perform all of the necessary, convenient and proper things in carrying out the proper functions of the Association and as set forth in the Articles of Incorporation and the Declaration. The Board of Directors may delegate to any committee or person such powers as the Board may deem wise. The Board of Directors; in addition to the power and authority expressly conferred upon it by these By-Laws, may exercise all such power sand do all such things as may be exercised or done by the Association in accordance with its Articles of Incorporation and the provisions of the Indiana Non profit Corporation Act and the Declaration.

Section 3.2. Number, Tenure and Qualifications. The Board of Directors shall consist of nine (9)Members of the Association; each of whom shall serve for three (3) years and until his/her successor is elected and qualified. No person shall serve more than two (2) consecutive full terms as a Director.

Section 3.3. Vacancies. Except for a Director who is removed, any vacancy occurring on the Board of Directors, caused by death, resignation or otherwise, shall be filled by a majority vote of the remaining members of the Board of Directors. The appointed person shall serve until the end of the term of the Director that is being replaced. If any Director is absent for three (3) consecutive regularly scheduled Board meetings, or a total of five (5) in any 12- month period of time, such Director's absences shall be deemed to create a vacancy on the Board of Directors.

Board Member Committee Chairs (Advisory committee):

What is the purpose of an Advisory Committee for Woodland Springs, Inc? The advisory committee(s) is a volunteer group formed to give advice and support to the board of directors and/or the property manager. The advisory committee members do not have formal legal responsibilities or decision-making authority and can’t issue directives that must be followed by the homeowners of Woodland Springs. The advisory committee makes recommendations and provides information and materials to the board of directors. The advisory committee’s tasks and powers are delegated by and subject to the direction of the board of directors.

Each director of Woodland Springs, Inc is responsible for a specific area of the association. The director needs the advice and recommendations of the advisory committee and homeowners to better carry out the duties and responsibilities of his/her area of oversight.

Every homeowner, if desired, already has access to the KMC portal provided they register using their personal KMC account number.  This number is used to pay the homeowner’s annual assessment.  If you have not enrolled on the secure KMC portal, please go to:  ekirkpatrick.com to register and create your personal Username and Password.  If you require assistance contact our Kirkpatrick CSR

Once again, please keep in mind that the Board of Directors is an all-volunteer board duly elected by the homeowners of Woodland Springs to serve our community and be fiscally responsible with the assets entrusted to the board.   Furthermore, Woodland Springs is not the only neighborhood a property manager of Kirkpatrick Management (or any other management company for that matter) serves on a daily basis.

City of Carmel neighborhood pop-up series

Carmel Mayor Sue Finkam is pleased to announce a new City of Carmel neighborhood pop-up series, inviting residents of the Woodland Springs neighborhood and surrounding areas to a community gathering on Monday, July 28, from 4:30 to 6:30 p.m. at Woodland Springs Clubhouse North parking lot.

This event offers a relaxed and engaging opportunity for community members to connect directly with Mayor Finkam, city councilors and city team members. Attendees can enjoy iced treats from Rita's Italian Ice, participate in family-friendly activities and engage in informal discussions about city services and local initiatives. Kids in attendance will also have the exciting chance to explore a Carmel Fire Department fire truck and a Carmel Police Department squad car.

"These neighborhood pop-ups are an invaluable way for me to meet residents where they live, listen to their insights and share important information about our city," said Mayor Finkam. "I encourage everyone in the Legacy area to come out, enjoy a treat and have a conversation. It's a fantastic chance to build stronger connections within our community."

The pop-up series is designed to foster open dialogue between residents and City leadership, providing a convenient platform to ask questions, offer feedback and learn more about how the City of Carmel serves its citizens.

Pool Opening Delayed

Mother Nature has not cooperated and today's high temps only predicted at 65-67F. This is below our long-standing 70F minimum (as stated in our Pool Rules) We have the Pool Closed sign out with a "Temp Below 70F" notation.

We are aware of the pool heater leak and we are waiting to hear back from the third-party firm that will find the source of the leak.

Special thanks to Dan Weingart who has offered flowers for the pool planters again this year!

Swim Team Registration Is Open

Registration for the Woodland Springs Swim Team is officially OPEN!

We plan to close registration on 5/12/2025

As a reminder, only Woodland Springs residents and returning swim families should register at this time.

The team will be capped at 120 swimmers, and we may not be able to accept new families from outside the neighborhood
